STANDARD CUSTOMER LICENSE
This agreement governs the standard end-user license for Business OS Professional. It does not grant PLR, white-label, reseller, master resale, sublicensing, or redistribution rights.

1. Agreement and Acceptance
This Standard Customer License Agreement (the “Agreement”) governs the use of Business OS Professional and related customer-facing materials (collectively, the “Product”) provided by Vox Logic Solutions (“Licensor”). The individual or organization that purchases, receives, accesses, copies, installs, or uses the Product is the “Licensee.”
By purchasing, accessing, copying, installing, or using the Product, Licensee agrees to be bound by this Agreement. If Licensee does not agree, Licensee must not use, copy, distribute, or provide access to the Product.
2. Product Covered by This License
The Product may include a Google Sheets-based Business OS Control Center, attached Google Apps Script functionality, Google Docs templates, configuration structures, workflows, documentation, guides, reference materials, and other files or materials expressly supplied as part of the standard customer package.
The Product is licensed, not sold. Purchase of the Product does not transfer ownership of the underlying Business OS Professional intellectual property.
3. License Grant
Subject to payment of applicable fees and continued compliance with this Agreement, Licensor grants Licensee a limited, non-exclusive, non-transferable, non-sublicensable license to use and customize the Product for Licensee’s own internal business operations.
Under the Standard Customer License, Licensee may:
- Create a working copy of Business OS Professional for the licensed business.
- Configure company information, categories, branding, administrators, document metadata, and other supported settings.
- Create, edit, approve, revise, store, and publish Licensee’s own SOPs, policies, processes, work instructions, job aids, checklists, forms, meeting notes, playbooks, and other business content.
- Permit employees, contractors, and professional advisors working for the licensed business to access the Product when access is reasonably necessary for that business’s internal operations.
- Make reasonable backup or archival copies solely for the licensed business’s internal use and disaster recovery.
4. License Scope
Unless the applicable order, invoice, product page, or written agreement expressly provides otherwise, the Standard Customer License is intended for one purchasing business or organization. Affiliates, separately operated businesses, clients, franchisees, portfolio companies, or other third parties require their own license unless Licensor has expressly granted broader rights in writing.
A consultant or service provider purchasing a Standard Customer License may use the Product to operate the consultant’s own business, but may not distribute copies of the Product to clients or use one license to install Business OS Professional as a deliverable for multiple client businesses.
5. Licensee-Owned Business Content
Licensee retains ownership of original business content created by or for Licensee and entered into or produced using the Product, including Licensee-specific procedures, policies, operational instructions, company data, original text, and other proprietary business information (“Licensee Content”).
Licensor does not obtain ownership of Licensee Content merely because it is created, organized, or stored using Business OS Professional.
This section does not transfer to Licensee any ownership interest in the Product itself, its software, automation logic, system architecture, reusable templates, generic structures, documentation, branding, or other pre-existing Licensor materials.
6. Licensor Intellectual Property
As between Licensor and Licensee, Licensor retains all right, title, and interest in and to Business OS Professional and all associated intellectual property, including its source code and Apps Script code, system architecture, automation logic, template framework, document-generation methods, workflows, user documentation, product design, product names, and other original or proprietary components, except for Licensee Content.
Customization, configuration, or modification by Licensee does not convert the underlying Product into Licensee-owned intellectual property or remove the restrictions in this Agreement.
7. Prohibited Uses
The Standard Customer License does not include PLR, master resale rights, white-label rights, reseller rights, distribution rights, or sublicensing rights. Licensee may not, directly or indirectly:
- Sell, resell, rent, lease, sublicense, license, distribute, give away, publish, upload, or otherwise provide the Product or a copy of it to another business or person except authorized internal users.
- Share the Product Master, customer copy link, source files, Apps Script code, templates, documentation package, or other licensed materials in a public repository, marketplace, membership library, shared drive, template library, download site, or similar location.
- Repackage, rename, rebrand, white-label, or materially reproduce the Product for sale, licensing, client delivery, or commercial distribution.
- Claim authorship or ownership of Business OS Professional or its underlying system, code, template framework, or documentation.
- Use the Product or substantial portions of its protected structure, code, documentation, or templates to create a competing product intended for resale, licensing, distribution, or commercial template delivery.
- Remove or intentionally circumvent licensing notices, proprietary notices, access controls, or other rights-management measures included by Licensor.
- Transfer the license to another entity following a sale, merger, restructuring, or business transfer unless Licensor consents in writing or applicable law requires otherwise.
8. PLR, White-Label, and Reseller Rights
No PLR, private-label, white-label, master resale, reseller, or redistribution rights are granted under this Agreement. Any such rights must be purchased or granted under a separate written license issued by Vox Logic Solutions. A separate commercial license may contain different pricing, attribution, modification, distribution, support, and resale terms.
9. Third-Party Platforms and Services
Business OS Professional is designed to operate with third-party platforms and services, including Google Workspace products such as Google Sheets, Google Docs, Google Drive, and Google Apps Script. Those services are provided by third parties and are governed by their own terms, availability, permissions, security controls, pricing, and technical changes.
Licensor does not control and cannot guarantee the uninterrupted availability, continued functionality, interface, authorization process, or future compatibility of third-party services. Google or another third party may change its products or authorization requirements independently of Licensor.
10. AI-Related Functionality
Where the Product includes an AI Prompt Generator or similar feature, the Product generates prompt text for Licensee’s use. Unless expressly stated otherwise, Business OS Professional does not itself transmit that prompt to an external AI provider. If Licensee chooses to submit information to an external AI service, Licensee is responsible for reviewing that provider’s privacy, confidentiality, security, and usage terms before submitting sensitive or proprietary information.
11. Licensee Responsibilities
Licensee is responsible for:
- Maintaining appropriate access controls for its Google account, Business OS files, and generated business documents.
- Maintaining backups appropriate to its business needs.
- Reviewing and approving business documentation before relying on it operationally.
- Determining whether its policies, procedures, forms, compliance materials, and other content satisfy applicable laws, regulations, contracts, industry standards, and professional requirements.
- Ensuring that authorized internal users comply with this Agreement.
- Protecting confidential, personal, regulated, or sensitive information placed into the Product or third-party services.
12. No Professional Advice
The Product is an operational documentation and business-management tool. It does not constitute legal, tax, accounting, cybersecurity, regulatory, human-resources, medical, financial, or other professional advice. Licensee remains responsible for obtaining qualified professional advice when appropriate.
13. Updates, Enhancements, and Support
Unless expressly included in the applicable purchase terms, purchase of Business OS Professional does not guarantee future versions, new modules, feature enhancements, custom development, implementation services, ongoing maintenance, or unlimited technical support.
Licensor may offer updates, upgrades, support plans, implementation services, expanded licenses, or future versions separately and may establish separate terms and fees for those offerings.
14. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PRODUCT IS PROVIDED “AS IS” AND “AS AVAILABLE.” LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
LICENSOR DOES NOT WARRANT THAT THE PRODUCT WILL BE ERROR-FREE, UNINTERRUPTED, COMPATIBLE WITH EVERY CUSTOMER CONFIGURATION, OR IMMUNE FROM CHANGES MADE BY THIRD-PARTY PLATFORMS.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LICENSOR WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF BUSINESS OPPORTUNITY ARISING FROM OR RELATED TO THE PRODUCT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LICENSOR’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE PRODUCT OR THIS AGREEMENT WILL NOT EXCEED THE AMOUNT ACTUALLY PAID BY LICENSEE TO LICENSOR FOR THE STANDARD CUSTOMER LICENSE GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain warranty disclaimers or limitations of liability. In those jurisdictions, these provisions apply only to the maximum extent permitted by law.
16. Termination
This Agreement remains effective unless terminated. Licensee’s rights under this Agreement terminate automatically if Licensee materially breaches the license restrictions and fails to cure the breach where a cure is legally required or expressly offered by Licensor.
Upon termination, Licensee must stop using and distributing the Product and delete or destroy licensed Product copies in its possession or control, except to the extent retention is required by law. Termination does not require Licensee to surrender ownership of Licensee Content, but Licensee may need to export that content from the Product before discontinuing use.
17. Enforcement and Equitable Relief
Licensee acknowledges that unauthorized distribution, resale, sublicensing, publication, or disclosure of the Product or its source materials may cause harm that cannot be adequately remedied solely by monetary damages. Subject to applicable law, Licensor may seek injunctive or equitable relief in addition to other available remedies.
18. Governing Law and Venue
This Agreement and any dispute arising out of or relating to it or the Product will be governed by the laws of the State of Texas, without regard to conflict-of-laws principles. Subject to any rights that cannot lawfully be waived, the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in the Texas county in which Vox Logic Solutions maintains its principal place of business at the time a proceeding is filed.
19. Changes to This Agreement
The license terms applicable to a purchase are the terms presented or incorporated into the transaction at the time of purchase, unless Licensee later agrees to amended terms. Licensor may publish revised terms for future purchases or future versions of the Product.
20. Severability; Waiver; Entire Agreement
If a provision of this Agreement is held unenforceable, the remaining provisions remain in effect to the extent permitted by law. Failure to enforce a provision is not a waiver of the right to enforce it later.
This Agreement, together with the applicable order, invoice, checkout terms, product page, or other written terms incorporated into the purchase, constitutes the agreement regarding the Standard Customer License and supersedes prior statements concerning the same license rights. If a separately signed written agreement expressly conflicts with this Agreement, the signed agreement controls to the extent of that conflict.
